Terms of Service

1. Agreement to Terms

By creating an account or using Best Life Systems (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you ("User," "you") and Best Life Systems, Inc. ("Best Life Systems," "we," "us"). If you do not agree, do not use the Service.

2. Description of Service

Best Life Systems is an AI-assisted executive recruiting management platform. The Service enables users to manage candidate pipelines, schedule interviews, communicate with candidates via SMS, generate AI-assisted outreach and summaries, and collaborate on hiring decisions.

The Service is provided in alpha. Features, availability, and pricing are subject to change. We do not guarantee uninterrupted access during the alpha period.

3. Eligibility and Accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@bestlifesystems.com if you suspect unauthorized access.

One account per organization is permitted during alpha. We may limit, suspend, or terminate accounts at our discretion, with reasonable notice where practicable.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Send unsolicited commercial messages or violate anti-spam laws (including CAN-SPAM, CASL, and TCPA) via our SMS features.
• Scrape, harvest, or extract data from the Service in an unauthorized manner.
• Introduce malware, viruses, or any code that could disrupt or damage the Service or other users.
• Impersonate any person or entity or misrepresent your affiliation.
• Use AI-generated content in ways that are deceptive, defamatory, discriminatory, or otherwise harmful.

You are solely responsible for the legality of all recruiting activities you conduct through the Service, including compliance with equal employment opportunity laws.

5. Candidate Data

You are the data controller for candidate information you input or upload. You represent that you have a lawful basis to collect, store, and process candidate data through the Service, and that candidates have received appropriate notice.

We process candidate data as your data processor, subject to our Privacy Policy. We do not sell candidate data to third parties.

6. AI Features

The Service incorporates third-party AI models (including Anthropic's Claude) to provide features such as candidate summaries, outreach drafts, and interview preparation. AI-generated outputs are not guaranteed to be accurate, complete, or free from bias. You are responsible for reviewing and approving any AI-generated content before use.

Do not input sensitive personal information (e.g., SSNs, medical records, financial account details) into AI features.

7. Intellectual Property

Best Life Systems and its licensors retain all rights in the Service, including software, design, and documentation. You retain ownership of your content (candidate data, notes, etc.) that you upload.

By using the Service, you grant us a limited license to host, store, process, and display your content solely to provide the Service to you.

8. Payment

Billing terms, pricing, and usage-based charges are described in our Billing & Usage Agreement. All fees are non-refundable except as required by law or stated otherwise.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEST LIFE SYSTEMS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) $100. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days post-termination, after which it will be deleted in accordance with our data retention policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for IP or confidentiality claims.

13. Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance.
